Mollie acquires GoCardless for €1.1B to form €3B European payments group

Dutch payments company Mollie has acquired the UK fintech GoCardless for €1.05 billion in a deal that values Mollie at €1.95 billion. The transaction, which is mostly stock-based with a small cash component, is expected to be finalized by mid-2026.

About Mollie

  • Dutch fintech Mollie provides a platform for businesses across Europe and the UK to accept payments, manage cash flow, and access financial services. Its tools cover online and in-person payments, recurring billing, invoicing, payment links, fraud prevention, and financial reporting, with APIs and prebuilt integrations for e-commerce platforms, SaaS services, and marketplaces.
  • Payments can be processed via cards, bank transfers, PayPal, iDEAL, and other methods, with a single dashboard to track transactions, reconcile accounts, and monitor funds. Mollie B.V. is licensed as an electronic money institution by the Dutch Central Bank, while its UK entity is regulated by the Financial Conduct Authority.

About GoCardless

  • Founded in 2011 by Hiroki Takeuchi, Matt Robinson, and Tom Blomfield, GoCardless is a UK-based fintech company that enables businesses to collect payments directly from customers’ bank accounts.
  • The firm develops systems for one-off, recurring, and subscription payments, with tools for invoice management, automatic retries for failed payments, and integration with accounting and business software. 
  • GoCardless processes payments through bank-to-bank transfers using Direct Debit, reducing reliance on cards and associated fees. Businesses can monitor and reconcile transactions through an online dashboard, while the platform supports international payments from over 30 countries. GoCardless Ltd is authorized by the UK Financial Conduct Authority under the Payment Services Regulations 2017.

Details of the acquisition

  • The acquisition allows Mollie to integrate GoCardless’s bank payment services into its existing offerings, creating a combined company serving over 350,000 businesses across Europe. Both firms are profitable and growing, and the deal is aimed at providing a broader range of payment solutions in a fragmented market. The companies plan to focus on expanding services and integrating platforms rather than cutting costs.
